The ideas and confidential information presented in the challenge shall, at all time and under any circumstances belong to the applicants, as well as all patent, copyright, trade secret, trademark and other intellectual property rights which may derive therein.


Confidential Information will include, but shall not be limited to (irrespective of the form of communication documents, all type of information and ideas provided by the applicants in any support or format, drawings, sketches or designs, materials, samples or prototypes, etc., and all analyses, compilations, data, other studies or other documents prepared, containing, or based, in whole or in part, on any such furnished Confidential Information.


Both IBERDROLA and INNOENERGY acknowledge that the Confidential Information belongs to the applicants, and that they are the titleholders of all the Confidential Information and Intellectual Property rights derived from the ideas and the work performed within the scope of the challenge, as well as of their moral and economic rights, to the extent that they are eligible for protection.

INNOENERGY undertakes to protect the confidentiality of the projects presented by the applicants, and IBERDROLA undertakes not to develop the ideas presented by the applicants without their express consent.


The applicant, through his/her registration in the platform and participation in the challenge, expressly authorizes and grants a mandate to INNOENERGY to represent his/her interests regarding the protection of his/her Confidentiality and Intellectual Property rights, in order to ensure that the applicants ideas and Intellectual Property rights will not be developed, marketed or exploited by IBERDROLA or any other third party involved in the execution of the challenge that may have access to the Confidential Information. In this regard, by virtue of the mandate and special powers granted by the applicant to INNOENERGY to represent him/her, INNOENERGY is entitled to subscribe any type of agreement on behalf of the applicant and to carry out all the necessary measures so as to ensure that all parties that have access to the Confidential Information, comply with the obligation of Confidentiality and respect the Intellectual Property derived from the challenge.


The applicant acknowledges that INNOENERGY will be carrying out its best efforts to protect the confidentiality of the project, and expressly accepts to hold INNOENERGY harmless from any damage the applicant may suffer derived from IBERDROLA’s or any third party’s breach of Confidentiality obligation.
